While we take reasonable precautions, we cannot guarantee a completely allergen-free environment.

• Harmful Content: Submitting, uploading, or transmitting any content that is defamatory, obscene, abusive, threatening, harassing, hateful, or otherwise objectionable;
• Malware Distribution: Transmitting viruses, Trojan horses, worms, or any other malicious or harmful code;
• Interference: Interfering with or disrupting the integrity or performance of our Services or the data contained therein;
• Circumvention: Circumventing any security or access control measures implemented on our Site;
• Spam: Sending unsolicited commercial communications to other users or using our platform to harvest contact information for such purposes;
• Reverse Engineering: Attempting to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide our Services;
• Misuse of Promotions: Exploiting promotional offers, discount codes, or loyalty rewards in a manner not intended by us, including but not limited to creating multiple accounts to receive first-time customer benefits.

Violation of any of these prohibited activities may result in immediate termination of your account and access to our Services, and may expose you to civil and/or criminal liability under applicable law, including but not limited to the Computer Fraud and Abuse Act, 18 U.S.C. § 1030, and the CAN-SPAM Act, 15 U.S.C. § 7701 et seq.

4. Intellectual Property Rights

All content, materials, and information available on or through the Site, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, software, and the compilation thereof (collectively, the "Content"), are the exclusive property of Round Table Pizza or its licensors and are protected by applicable United States and international intellectual property laws, including the Copyright Act, 17 U.S.C. § 101 et seq., the Lanham Act, 15 U.S.C. § 1051 et seq., and applicable trade secret laws.

The Round Table Pizza name, logo, trade dress, and all related marks are registered or common law trademarks of Round Table Pizza. You may not use any of our trademarks or trade dress without our prior written consent. All other trademarks not owned by us that appear on the Site are the property of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in accordance with these Terms. This license does not include the right to:

5. Ordering and Payment Terms

5.4 Sales Tax

5.5 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final. We will evaluate your complaint and, at our sole discretion, may offer a replacement order, store credit, or partial or full refund. • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE SITE;
• WARRANTIES REGARDING THE QUALITY, SAFETY, OR SUITABILITY OF FOOD PRODUCTS FOR INDIVIDUALS WITH SPECIFIC DIETARY NEEDS, ALLERGIES, OR MEDICAL CONDITIONS.

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICES;
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
• BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED THROUGH THE SITE BY ANY THIRD PARTY;
• DAMAGES ARISING FROM YOUR RELIANCE ON ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SITE;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ROUND TABLE PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Round Table Pizza, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in any way related to:

• Your access to or use of the Site or Services;
• Your violation of these Terms or any applicable law or regulation;
• Your violation of any third party's rights, including but not limited to intellectual property rights, privacy rights, or rights of publicity;
• Any User Content you submit or transmit through the Site;
• Your fraudulent or intentional misconduct;
• Any dispute between you and any other user or third party.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defense. You agree not to settle any such claim without our prior written consent.

10. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States and the applicable state laws of the United States, without regard to conflict of law principles that would cause the laws of another jurisdiction to apply.

To the extent that any dispute is not subject to arbitration as set forth in Section 11 below, you and Round Table Pizza each consent to the exclusive personal jurisdiction of the state and federal courts located within the United States for the purpose of litigating such disputes, and you waive any objection to the laying of venue of any such litigation and any claim that such litigation has been brought in an inconvenient forum.

Our Services are operated within the United States. We make no representation that the Services are appropriate or available for use in locations outside the United States. If you access our Services from outside the United States, you do so at your own risk and are responsible for compliance with applicable local laws.

These Terms are subject to the Federal Arbitration Act, federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), and any other applicable federal statutes. Where applicable, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) and other state consumer protection statutes may also apply.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute informally by contacting us at [email protected] with a written description of your complaint. We will attempt to resolve the issue within thirty (30) calendar days of receipt of your complaint. This informal resolution requirement is a condition precedent to initiating any formal dispute resolution proceeding.

11.2 Binding Arbitration

If we are unable to resolve your complaint informally, you and Round Table Pizza agree that any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, or your use of the Site or Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by these Terms.

The arbitrator shall have the authority to award any remedy that would be available in a court of law. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding on both parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

11.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ROUND TABLE PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. If this class action waiver is found to be unenforceable for any reason, the entire arbitration clause shall be deemed void.

11.4 Exceptions

Notwithstanding the foregoing arbitration agreement, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this Section shall limit your right to file a complaint with any applicable government regulatory agency, including the Federal Trade Commission (FTC).

12. Term and Termination

These Terms shall remain in full force and effect for as long as you use or access our Site or Services. We reserve the right, in our sole and absolute discretion, to suspend or terminate your account and access to our Services at any time and for any reason, including but not limited to:

• Your breach or suspected breach of any provision of these Terms;
• Fraudulent, abusive, or illegal activity;
• Failure to pay for services rendered;
• Extended periods of account inactivity;
• Our decision to discontinue the Services or any portion thereof.

Upon termination of your account or access to our Services:

• Your license to use the Site and Services shall immediately terminate;
• We may delete your account information and User Content, subject to our data retention obligations under applicable law;
• Outstanding payment obligations shall survive termination;
• You remain liable for any orders placed prior to termination.

Sections of these Terms that by their nature should survive termination, including but not limited to intellectual property rights, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution, shall survive termination.

17. Force Majeure

Round Table Pizza shall not be liable for any delay or failure to perform any obligation under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, war, terrorism, labor disputes, supply chain disruptions, power outages, internet or telecommunications failures, or other events of force majeure. In the event of a force majeure event, we will make reasonable efforts to notify you and resume performance as soon as practicable.

18. Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.

The parties acknowledge that it is their intent that these Terms be enforced as written, and that each provision herein has been mutually negotiated and agreed upon. No provision of these Terms shall be construed against either party solely on the basis that such party drafted or proposed such provision.

19. Waiver

No failure or delay by Round Table Pizza in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of Round Table Pizza to be effective.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies, guidelines, or agreements referenced herein, constitute the entire agreement between you and Round Table Pizza with respect to your use of the Site and Services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether oral or written, relating to the subject matter hereof. No oral or written information or advice given by Round Table Pizza or any of its employees or agents shall create a warranty or otherwise alter the terms of this agreement.
